Real Estate
Our real estate practice is diverse and extensive, extending into both
commercial and residential matters. We represent sellers and purchasers of
real estate properties and have conducted hundreds of transactions. We are
involved in negotiating commercial leases for retail, office, industrial,
restaurant and hospitality space. Our representation has also included
cooperatives, condominiums and property management companies. Additionally,
we litigate real estate and cooperative board disputes, defend and prosecute
foreclosures, seek zoning variances, undertake property tax reviews by
governmental bodies and provide lending and financing representation.
We also represent individuals seeking to prevent foreclosure on their home or
condominium and to also stop the sale of their cooperative apartment unit at
auction. When possible, we also attempt to negotiate a short sale of a property
on behalf of a client or to negotiate a refinancing or modification of their
existing loan in order to allow a client the ability to continue to fulfill their
obligations to lenders.
Litigation and Dispute Resolution
We litigate matters in all areas of commercial, business and real estate law
for our clients. He have handled cases relating to employment law,
discrimination in the work place, construction projects, professional
liability and malpractice, cooperative board disputes, fraud and breach of
fiduciary duty, breach of contract, illegal and deceptive business
practices, investor disputes and appellate practice. In representing a
client in a litigation, we work when necessary with our correspondent law
partners in forming the strongest team of litigators with the broadest
experience in the requisite field.
Business Formation
We represent clients who, whether they possess experience in the business
world or not, are in the process of forming a new business. Our services in
this area include advising clients on the structure of their new business
entity, initiating and negotiating initial business contracts and
relationships, implementing internal controls for the regulation and
operation of their new business, assisting in the initial financing of the
business through lending, capital fund raising, credit line facilities and
secured transactions. We also offer our legal experience for clients seeking
advice on the acquisition of assets, the hiring of employees, the
organization of a board of directors, subsequent mergers and acquisitions
and licensing agreements.
Estate Planning and Administration
On behalf of our clients, we
often provide estate planning advice and assist them with any questions or
guidance they may need in arranging for the distribution of their assets. In
addition, we represent clients on estate matters and oversee the probate of
wills and the administration of a deceasedís estate. Our assistance includes
makes all necessary applications to the Surrogate's Court, gathering and
marshalling all assets, resolving any issues which may exist between
distributes and finalizing the distribution of those assets. We also work
with our overseas correspondent law partners to assist us in marshalling any
assets which exist around the world and making all appropriate applications
to any ancillary jurisdiction as required.
Employment and Compensation
Our employment practice is well versed in the areas of negotiating of
employment agreements, litigating wrongful termination claims, addressing
race, age, national origin, religion and sex discrimination claims as well
as sexual harassment claims, negotiating severance packages, non-competition
agreements and confidentiality agreements and handling whistle-blower
